ARTICLE I: NAME

This organization shall be known as the Colorado 17th State Representative District Republican Central
Committee; also known as House District 17 Central Committee, hereafter referred to as the Committee.

ARTICLE II: PURPOSE

The primary purpose of this organization shall be for the selection, nomination, election, and appointment of
qualified Republicans to the Colorado State House of Representatives from the 17th District.

ARTICLE III: MEMBERSHIP

Section A: Membership Defined
(All reference to male includes the female, and the masculine pronoun includes the feminine.)

The membership of the Committee, all of whom are voting members, shall consist of:

1.        The Chairman, Vice-Chairman, and Secretary of the Committee.
2.        The elected or appointed Republican precinct committee persons of House District 17.
3.        The elected House District 17 division leaders.
4.        All duly elected Republican State Republican officials residing in House District 17.
5.        The Chairman, Vice-Chairman, and secretary of the El Paso County Republican Party, who reside in House
    District 17.
6.        All current state Bonus Members who reside in House District 17.


SECTION B: Membership Qualifications.
All members (with the exception of the officers) of the committee shall be affiliated as a Republican as shown on
the registration books of the county clerk and recorder for a period of not less than two months. Members must
reside within the boundaries of the District during their terms as members of the Committee.

SECTION C: Multiple Offices or Positions.
Multiple offices or positions shall not entitle a person to more than one vote, excluding proxies.

ARTICLE IV: ELECTION OF OFFICERS

Section A:
The District Chairman, District Vice-Chairman, and District Secretary shall be elected by a majority of the vote of
the membership of the Committee at a meeting, upon notice properly given, by those present and voting either in
person or by proxy.

SECTION B:
Each officer must be a duly registered member of the Republican Party and have resided in the 17th District for at
least one year.

ARTICLE V: MEETINGS

SECTION A:
The organizational meeting of the Committee shall be held in odd numbered years at a location specified by the
Chairman of the El Paso County Central Committee. This is a required meeting and must be held between the 1st
and 15th day of February in each odd numbered year. This meeting shall be called by the Chairman of the El
Paso County Central Committee Organizational meeting.

SECTION B:
Other meetings, either regular or special, shall be held at such time and place as may be designated by the
Chairman. It shall be the duty of the Chairman to call a meeting of the Committee within 30 days after receiving a
request for such for such meeting signed by one fourth or more of the membership. If the Chairman fails to call
such meeting as provided herein, the Committee members who requested the meeting may authorize one of their
number to issue the call.

SECTION C:
If a vacancy occurs in the office of division leader, the Chairman shall call a meeting of that division to elect a new
division leader within 30 days. The Chairman will preside at that meeting.

SECTION D:
Calls shall be in writing and mailed to the last address on file, at least 15 days prior to the date of the meeting.
The call shall state the time and place of the meeting and the business intended to be conducted at said meeting,
provided, however, that the call shall not limit the business to only those mentioned.

SECTION E:
A quorum shall consist of such members of the committee present at any meeting properly called.
SECTION F:
Officers shall be elected by secret ballot except in case no contest, whereby, vote by acclamation shall suffice
upon motion therefore properly made. Proxy votes shall be allowed. In cases other than the election of officers,
voting shall be by voice unless a roll-call is requested by any member present, in which the roll shall be called and
each member (or his proxy) shall vote when his name is called.

SECTION G:
The following rules for proxies shall apply:
1.       The individual designated as a proxy shall be a Republican elector who would meet the eligibility   
   requirements for the office of the one represented.
2.       A proxy of a member absent at roll call shall be designated in written form which shall be signed by
   member, dated, witnessed, and delivered to the Secretary before the meeting is called to order. (This
   requirement may be waived by a majority vote under special circumstances).
3.       A proxy of a member present at roll call, who subsequently leaves the meeting, may be submitted in written
   form which shall be signed by member, dated, witnessed, and delivered at any time during the meeting, but
   shall be eligible to vote on a particular ballot is so delivered prior to commencement of voting on that ballot.
4.       A proxy shall apply only to a single meeting.
5.       A proxy may vote only if his principal is absent at the time of the vote.
6.       Any member of the Committee shall have the right to examine the proxies prior to the taking of any vote.

ARTICLE VI: OFFICERS

SECTION A:
The elected officers of the Committee shall be a Chairman, Vice-Chairman, and Secretary. The officers may or
may not be elected from among, but shall be elected by the state representative central committee.

SECTION B:
The Chairman shall be the chief executive officer and shall have the usual powers and duties attending such a
position. He shall also set the time and place of the committee meetings and meetings to fill vacancies, and shall
preside over such meetings.

SECTION C:
The Vice-Chairman shall aid and assist the Chairman in the performance and accomplishment of his duties, shall
exercise the functions of the Chairman in their absence or inability to perform, or at the Chairman’s request.

SECTION D:
The Secretary shall be the chief clerical officer of the Committee and shall keep a complete record of all the
proceedings of the Committee and shall have such other and usual duties as attending such a position.

SECTION E:
Should any officer die, resign, be permanently absent from the District, be absent sufficiently, or fail to perform his
duties, then, at a meeting properly called, upon two thirds vote of those present, in person or proxy, in favor of a
motion to remove him/her from office, he/she shall be removed of such an office and be disqualified to act as such
officer immediately following such a vote, whereupon said Committee shall proceed to elect a successor, by
majority vote, who shall hold the office until his successor or replacement is chosen or qualifies.

ARTICLE VII: DIVISION LEADERS

SECTION A:
A.       Division Leaders shall be elected at the Committee organizational meeting. A person need not be an officer
   of the Committee or a precinct committee person in order to be eligible to serve as a division leader.
   Division leaders shall be elected by a majority of those precinct committee people in each division who are
   present.
B.       Once elected, division leaders shall continue to serve until the next organizational meeting of the
   Committee, or until they resign or are removed.
C.       Division Leaders may be removed from office pursuant to Section 10.03 of the El Paso County Bylaws.


ARTICLE VIII: COMMITTEES

In the event of a vacancy in the general assembly, the vacancy will be filled by the vacancy committee as per
article 1-12-203 of the Colorado State Statutes. The vacancy committee will consist of the district central
committee. No member of the vacancy committee may vote by proxy. The time and location must be mailed at
least 10 days prior to the meeting by the Chairman. Quorum shall be one-half of the voting membership of the
vacancy committee. The committee shall certify the selection to the secretary of state within 30 days from the date
the vacancy occurs. The district chairman shall call and preside over this meeting.

ARTICLE IX: DISTRICT ASSEMBLY

Section 1.  
The District Assembly shall be held on the same day as the County Assembly.

Section 2.  
Persons elected at the Precinct Caucuses within the District as delegates to the County Assembly shall also serve
as delegates to the 17th District Assembly.

Section 3.  
No proxy shall be allowed or recognized in the Assembly, and any vacancy shall be filled from the list of alternates
present by each precinct in their numerical order, from the lowest upward.

Section 4.
If, after  the list of alternates  has have been used and there still remains a vacancy in the delegation, then those
delegates present and voting shall cast only one vote each on any question or candidate.

Section 5.  
What is commonly known as the “Unit Rule” by which the entire vote of a delegation is cast according to the
majority within the delegation, shall not be permitted or adhered to.



ARTICLE X: PARLIAMENTARY AUTHORITY
Roberts Rules of Order, newly revised, shall govern the Committee whenever they are applicable and not
inconsistent with these bylaws or the Colorado State Election Laws.


ARTICLE XI: STATE STATUTES CONTROL

Where Colorado State Statutes pertain to a method or course, and a provision of the By-Laws conflict therewith,
such Statutes control. Should any provision, term, or statement herein be found to be in conflict with said Statutes
or be otherwise illegal, it is provided that such provision, term, or statement shall not affect or make illegal other
parts of these By-Laws not in conflict or illegal.

ARTICLE XII: AMENDMENTS

These Bylaws may be amended or revised at any meeting of the 17th District Central committee, properly called
by a two-thirds vote of the entire members present.

ARTICLE XIII: ADOPTION

These bylaws were adopted by a two-thirds majority vote of the persons present at the Organizational meeting of
the Colorado 17th State Representative District Republican Central Committee meeting held on February 7, 2009.

BYLAWS
